OtterScroll Terms of Service

Welcome to OtterScroll. These Terms of Service ("Terms") govern your use of the OtterScroll mobile application and the OtterScroll Web Studio (collectively, the "Services"), operated by Buitron Inc ("we," "us," or "our"). By accessing or using the Services, you agree to be bound by these Terms.

1. Acceptance, Changes to Terms, and Age Requirements

Privacy Policy: Your privacy is important to us. Our data collection, processing, retention, and your rights (including GDPR and CCPA/CPRA rights) are detailed in our Privacy Policy. By using the Services, you consent to our data practices.

Age Restrictions: You must be at least 13 years old (or 16 years old if residing in the European Economic Area/UK) to use OtterScroll. We do not knowingly collect information from children without parental consent.

Changes to Terms: We reserve the right to modify these Terms at any time. We will notify you of material changes by updating the "Effective Date" at the top of this page or by displaying a prominent notice within the Services. Your continued use of the Services following any changes indicates your acceptance of the updated Terms.

2. Description of Service and AI Integrations

OtterScroll is a cross-platform teleprompter software providing voice-tracking technology, cloud-syncing, and AI-assisted script generation.

Third-Party Integrations

We utilize third-party services including Supabase (database/auth), RevenueCat and Stripe (subscription management), Google/Apple (native speech recognition), Google AdMob (advertising), and Google Gemini (AI writing, social, and captioning features).

AI Disclaimer

If you use our AI Ghostwriter, Social Bundle, or AI Auto-Captions, your text prompts and temporary audio segments are processed by Google Gemini. AI-generated content may be inaccurate, incomplete, or inappropriate. You are solely responsible for reviewing, editing, and verifying any AI-generated scripts or captions before use. We claim no ownership over AI outputs, nor do we guarantee their accuracy. You agree to comply with Google's API usage policies.

3. Acceptable Use and Fair Usage

You agree not to misuse the Services. You may not: (a) reverse engineer, decompile, or disassemble the Services; (b) use automated scripts, bots, or scrapers to access the Services or abuse the AI Ghostwriter feature; (c) use the Services to generate, store, or transmit illegal, harmful, highly deceptive, or objectionable content (including hate speech or harassment); or (d) share your Pro account credentials with multiple unverified users to bypass subscription limits. We reserve the right to immediately suspend or terminate accounts that generate objectionable content.

4. User Accounts and Security

To utilize cloud syncing and Web Studio features, you must create an account. You are responsible for maintaining the confidentiality of your login credentials.

Security Breaches: You agree to notify us immediately of any unauthorized account access. We strongly recommend using secure authentication methods provided by Google Auth or Apple.

OtterScroll Pro subscriptions can be purchased via our Web Studio (processed by Stripe) or via our Mobile Apps (processed by Apple App Store or Google Play). Subscriptions automatically renew unless canceled at least 24 hours before the end of the current period. If you purchased via Apple or Google, you must manage your cancellation and request any refunds directly through your Apple ID or Google Play account settings. We cannot issue refunds for mobile app store purchases.

5. Subscriptions, Auto-Renewals, and Cancellations

OtterScroll offers free features and a premium cross-platform subscription ("Pro"). How you manage your subscription depends on where you purchased it:

• Web Subscriptions (Stripe): If you purchased Pro via our website, your subscription is managed securely via Stripe. You may update your payment method or cancel your subscription at any time by accessing the Customer Billing Portal linked in your account settings.
• Mobile Subscriptions (Apple/Google): If you purchased Pro via the iOS App Store or Google Play Store, your subscription is managed entirely by Apple or Google. You must cancel through your respective device's Subscriptions settings. Deleting the App or your OtterScroll account will not cancel these mobile subscriptions.

Auto-Renewal (California SB 343 Compliance & App Store Rules): Pro subscriptions are billed automatically based on the term you select. Payment will be charged to your Apple/Google account or Stripe at confirmation of purchase. Your subscription automatically renews unless auto-renew is turned off at least 24 hours before the end of the current period. Your account will be charged for renewal within 24 hours prior to the end of the current period. You can manage your subscriptions and turn off auto-renewal by going to your applicable Account Settings after purchase.

Refunds and EU Right of Withdrawal: For mobile purchases, refunds are handled entirely by Apple or Google. For web purchases, we do not offer prorated refunds for canceled subscriptions. If you are an EU/UK consumer, you have a statutory right to cancel your purchase within 14 days; however, by accessing the digital Pro features immediately upon purchase, you acknowledge that you waive this withdrawal right.

OtterScroll utilizes artificial intelligence (Google Gemini) to assist in script generation, social media content creation, and audio transcription. You retain all ownership rights to the scripts and videos you create. However, AI-generated content is provided 'as is' and may occasionally produce inaccurate, poorly timed, or inappropriate text. We reserve the right to impose rate limits on AI generation features to prevent abuse, bot activity, or server degradation at our sole discretion.

6. Intellectual Property and Limited License

Buitron Inc retains all rights, title, and interest in the Services, including our original code, proprietary voice-tracking algorithms, designs, and trademarks. We grant you a limited, non-exclusive, non-transferable, revocable license to use the Services for your personal or commercial content creation. For iOS users, this license is limited to using the App on Apple-branded products that you own or control as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions.

Feedback and Suggestions: If you provide us with any feedback, ideas, or suggestions regarding the Services ("Feedback"), you grant us a perpetual, irrevocable, royalty-free license to use, modify, and incorporate such Feedback into our products without any compensation or obligation to you.

7. User Content and Data Retention

Your Content: You retain full ownership of all scripts you create and videos ("Takes") you record. Video Takes are stored strictly locally on your device. Scripts are synced to our secure cloud database.

Data Retention: We retain your account data and cloud scripts only as long as your account remains active. Upon account deletion, your cloud data is permanently deleted.

Copyright Infringement (DMCA): We respect the intellectual property rights of others. If you believe that any content hosted on our cloud Services infringes your copyright, please notify us at support@otterscroll.com with a detailed description of the alleged infringement. We will respond to valid DMCA takedown notices and remove infringing content.

All video recordings created using the OtterScroll mobile or web applications are processed and stored locally on your device's hardware. We do not upload, host, or have access to your video files. It is your sole responsibility to back up your recordings. We are not liable for any lost, deleted, or corrupted video files.

8. Termination

You may terminate this agreement at any time by deleting your account. We reserve the right to suspend or terminate your account immediately, without notice, if you violate these Terms or our Acceptable Use policies.

9. Disclaimer of Warranties

FOR USERS ON THE FREE TIER, THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED OR ERROR-FREE.

EU/UK Paid Consumers: If you are a paid Pro subscriber in the EU or UK, the above disclaimer does not affect your statutory rights. We will provide the premium services with reasonable skill and care.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BUITRON INC SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL.

Liability Cap: In no event shall our total aggregate liability exceed the greater of fifty U.S. dollars ($50.00) or the amount you paid us in the past twelve (12) months.

11. Governing Law and Jurisdiction

These Terms shall be governed by the laws of the State of California, United States. You agree to submit to the exclusive jurisdiction of the state and federal courts located in Los Angeles, California.

12. App Store specific terms

If you download the Services from the Apple App Store or Google Play Store, you acknowledge and agree that:

• These Terms are concluded between you and Buitron Inc, and not with Apple Inc. or Google LLC. Buitron Inc is solely responsible for the Services.
• Apple and Google have no obligation whatsoever to furnish any maintenance and support services with respect to the App.
• Apple and Google are not responsible for addressing any claims you have relating to the App or your possession and use of the App.
• Apple and Apple’s subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right to enforce these Terms against you.
• In the event of any third-party claim that the App or your possession and use of the App infringes that third party's intellectual property rights, Buitron Inc, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of any such intellectual property infringement claim.
• You represent and warrant that (i) you are not located in a region that is subject to a U.S. Government embargo, or that has been designated by the U.S. Government as a "terrorist supporting" region; and (ii) you are not listed on any U.S. Government list of prohibited or restricted parties.
• You must comply with applicable third-party terms of agreement when using the App (e.g., your wireless data service agreement).

Buitron Inc is committed to making our Services accessible to everyone, including individuals with disabilities. We continuously strive to improve the user experience for all and apply relevant accessibility standards. If you experience any difficulty accessing our website, app, or reading these Terms, please contact us so we may assist you and provide the information in an alternative format.
